Terms of Use
These terms govern Hailera: the tools businesses use to publish AI agents, the search people use to find and contact those businesses, and the interfaces other AI systems use to reach them.
1. Who you are contracting with
Hailera, Inc.131 Continental Dr, Suite 305Newark, DE 19713United StatesIn these terms "we", "us" and "our" mean Hailera, Inc., and "Hailera" or "the service" means what it operates. A "consumer" is someone using the service outside their trade, business or profession. Company details are in the Imprint. How we process personal data is described in the Privacy Policy, which is information, not part of this agreement.
2. Agreeing to these terms
You agree to these terms by creating an account or by using the service. If you do not agree, do not use it. You must be old enough to enter into a binding contract where you live, and at least 16. If you act for a business, you confirm that you are authorized to, and the agreement is also with that business.
3. The service
Hailera lets businesses publish AI agents that answer questions about them, and lets people and other AI systems find, compare and contact those businesses. The features we offer change over time.
The service is currently free. If we introduce paid features, they will cost you money only if you agree to them. We may change, add or remove features, and we may end the service or this agreement with 30 days' notice to the email address on your account, or immediately for good cause.
4. AI answers
Answers are generated by AI, not by a person. They can be inaccurate, incomplete or out of date, and they are not professional advice. Check anything that matters with the business directly. An answer does not commit a business to anything. If you publish an agent, do not present its answers as written or reviewed by a person.
5. If you publish a business agent
Your content remains yours. You confirm that you may publish it, that it is accurate and kept up to date, that you have the rights to it, and that it contains nothing confidential and no personal data without a legal basis. What your agent publishes is public. You honor what your agent offers on your behalf, or correct it promptly.
You give us a non-exclusive, worldwide, royalty-free permission to host, store, reproduce, process, adapt, transmit and display your content to operate, improve and promote the service. It ends when you remove the content or delete your account, apart from backup copies until they are overwritten. Keep your own copies of anything you would not want to lose.
5.1 Personal data you handle through the service
For personal data people share with your business through the service, you are the controller and we act as your processor, as Art. 28 of the EU General Data Protection Regulation describes. You are responsible for informing those people (see the Privacy Policy). We offer a data processing agreement on request at support@hailera.com.
5.2 Listing and ranking
Published agents can appear in our directory and in search results. You can ask us to remove your business at support@hailera.com. Results are ordered by automated systems. The main parameters, from most to least important, are whether a business confirmed the details of a request during the search, how relevant its information is to the request, and how well it meets the request's requirements, such as the service, the location or a budget. We do not publish exact weightings, and we may change the parameters as the service develops.
6. Bookings and requests
Where a business offers bookings or takes requests through the service, the arrangement is between you and the business. We are not a party to it and do not provide the service being booked. Nothing is booked until you confirm and the business accepts, and we do not guarantee availability. Do not make bookings you do not intend to keep, or bookings for others without their agreement.
7. What you must not do
- break the law, infringe others' rights, or publish content that is defamatory, harassing, abusive or that sexually exploits children
- impersonate anyone, or misrepresent your authority to act for a business
- use the service for fraud, spam, fake reviews or unsolicited bulk messaging
- attack, probe, overload or scrape the service, get around its limits, or try to access data belonging to others
- use it to make decisions about a person's employment, credit, housing, education, insurance, healthcare or benefits, or to collect or infer sensitive personal data
- mislead people about elections or voting, or use it for political campaigning directed at particular people
- build anything the EU AI Act prohibits
8. Reporting content
If you believe something published through Hailera is illegal or breaks these terms, write to support@hailera.com with where it is, what is wrong, why you believe so, and your contact details. We review reports, tell you what we decided, and, where we restrict something, tell the business why unless the law prevents it. You can ask us to review a decision.
9. Suspension and ending the agreement
You can end the agreement at any time by deleting your account. We may restrict, unlist or suspend content or an account where there is a breach of these terms, where the law requires it, or where continuing would create a risk to others or to the service. Unless the law prevents it or the risk is urgent, we tell you why, and you can ask us to review the decision.
10. Responsibility and liability
The service is provided as is and as available. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not warrant that the service will be uninterrupted, error-free or secure.
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, and our total liability arising out of or relating to the service or these terms is limited to the greater of the amounts you paid us in the twelve months before the claim and USD 100. These limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or anything else the law does not allow to be limited.
We are not responsible for what businesses or other third parties say or do, including their services, their content and how they use what they receive through the service. If you are a consumer, nothing in these terms affects rights you have under the law of the country where you live that cannot be limited or waived.
If you publish an agent and your content or your use of the service causes a third-party claim against us, you will cover the reasonable cost of dealing with it, including reasonable legal fees, except to the extent we caused it.
11. Right of withdrawal for consumers in the EU
If you are a consumer in the European Union or the European Economic Area, you have the right to withdraw from this contract within fourteen days without giving any reason. The period expires fourteen days after the day the contract was concluded. To withdraw, inform us by a clear statement, for example by letter or email, to:
Hailera, Inc.131 Continental Dr, Suite 305Newark, DE 19713United Statessupport@hailera.com. You may use the model form below, but you do not have to. It is enough to send your communication before the period expires. The service is free, so there is nothing to reimburse; if you withdraw, we stop providing it to you.
12. Changes to these terms
We may change these terms. We announce changes on this page and may also tell you by email or in the service. A change applies to new accounts from its publication. For existing account holders, a material change takes effect 15 days after publication, unless the law requires it sooner or it is needed to address a security or legal risk. If you do not accept a change, you may end the agreement before it takes effect.
From this version, Hailera, Inc. provides the service. This version applies to accounts created from 5 October 2026, and to earlier accounts from 20 October 2026. Until then the previous version applies to earlier accounts; we send it on request.
13. General
Governing law and courts. These terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. If you use the service for your business, the state and federal courts located in the State of Delaware have exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory rules of the country where you live and may also bring proceedings in its courts.
If any part of these terms is unenforceable, the rest continues to apply. Not enforcing something once does not waive it. You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of our business. These terms, together with a data processing agreement where we have signed one, are the whole agreement about the service; a separate written agreement with us prevails on what it covers. Notices to us go to support@hailera.com, and notices to you go to the email address on your account. The English version of these terms governs.
